These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and ONM, a company organized and operating under the laws of Sri Lanka (“ONM”, “we”, “us”, or “our”), governing your access to and use of MatCompGenAI, including all desktop and mobile software, cloud APIs, websites, and related services (collectively, the “Services”). By accessing, installing, or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and the accompanying Privacy Policy. If you do not agree, you must not use the Services.
1. Eligibility and Acceptance
The Services are intended for users thirteen (13) years of age or older. If you are under the age of 18, you represent that you have obtained permission from a parent or legal guardian. You represent and warrant that you are legally capable of entering into this agreement and that your use of the Services does not violate any applicable law, regulation, sanction, or contractual obligation.
2. Account Registration and Authentication
Access to MatCompGenAI requires the creation of an ONM Account. Registration is permitted only through supported third-party authentication providers, including Google and Apple. By creating an account, you agree to provide accurate, complete, and current information, including but not limited to your name, email address, organization, professional role, country, phone number, and date of birth. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. ONM reserves the right to reject, suspend, or terminate accounts that contain false, misleading, or incomplete information.
3. Nature of the Service
MatCompGenAI is an artificial intelligence-based scientific software tool designed exclusively for academic, educational, and exploratory research purposes. The Services allow users to generate hypothetical inorganic crystalline material compositions based on user-specified target properties provided through natural language input, including but not limited to formation energy, volume, total energy, band gap, net magnetic moment, and stability. The Services operate using deep learning models trained on publicly available materials science datasets, including data derived from the Open Quantum Materials Database (OQMD). ONM does not own such datasets and makes no claim of ownership over them.
4. No Scientific, Commercial, or Safety Guarantees
You expressly acknowledge and agree that: All predictions, generated materials, and outputs are produced through statistical learning techniques and are not experimentally validated. Outputs may be inaccurate, implausible, incomplete, misleading, or scientifically invalid in real-world conditions. The Services do not guarantee synthesizability, feasibility, safety, performance, or correctness of any generated or predicted material. The Services are not a substitute for expert review, laboratory experimentation, peer review, regulatory approval, or professional judgment. You must not rely on the Services for critical, high-risk, safety-sensitive, medical, industrial, commercial, or decision-making purposes without independent verification. ONM disclaims all responsibility for real-world use, synthesis, testing, deployment, or consequences of outputs generated by the Services.
5. Credits, Usage Limits, and Availability
The Services are provided free of charge. No payments are accepted. Users are allocated a limited number of usage credits per account, which reset periodically. ONM may adjust, revoke, suspend, or reallocate credits at any time, with or without notice. Academic users may request additional credits at ONM’s discretion. Approval is not guaranteed. ONM does not guarantee uninterrupted availability of the Services. Certain features, including generation and prediction, require an active internet connection for security, authorization, and intellectual property protection purposes.
6. Data Storage and History
Generated and predicted results may be stored locally on your device and synchronized with cloud services associated with your account. History may be accessible offline. However, new generations require online authorization. You may delete MatCompGenAI application data from within the app. This action is irreversible. Deletion of application data does not delete your ONM Account or data associated with other ONM services. Full account deletion must be requested via email.
7. Intellectual Property Rights
All intellectual property rights in and to the Services, including but not limited to software, source code, compiled binaries, AI models, architectures, weights, encryption mechanisms, algorithms, documentation, trademarks, and logos, are and shall remain the exclusive property of ONM. The Services are licensed, not sold. You are expressly prohibited from copying, modifying, distributing, selling, sublicensing, leasing, reverse engineering, decompiling, disassembling, extracting models, bypassing encryption, or otherwise attempting to derive the underlying technology or intellectual property.
8. Ownership of Outputs
All outputs generated by MatCompGenAI, including material compositions, predictions, and derivative data, are owned exclusively by ONM. ONM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to view and use outputs solely for personal academic or research purposes, subject to these Terms. You may not commercialize, redistribute, publish, sell, license, or otherwise exploit outputs without prior written permission from ONM.
9. Prohibited Uses
You agree not to use the Services for any purpose that is unlawful, harmful, or prohibited, including but not limited to: Use related to weapons, military systems, chemical agents, biological agents, environmental harm, or human or animal harm, Use in violation of export controls, sanctions, or trade restrictions, Use by or for sanctioned countries, entities, or individuals, Use to attempt to bypass safeguards, extract models, manipulate credit systems, or compromise security. ONM reserves the right to monitor usage patterns and take enforcement action at its sole discretion.
10. Account Suspension and Termination
ONM may suspend or terminate your account, revoke credits, restrict access, or delete data at any time, with or without notice, if ONM determines that you have violated these Terms, applicable laws, or posed a risk to the Services, users, or ONM. Termination may occur without prior warning and without liability.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ONM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, RESEARCH, OR OPPORTUNITIES, ARISING FROM OR RELATED TO THE USE OF THE SERVICES. IN NO EVENT SHALL ONM’S TOTAL LIABILITY EXCEED ZERO (0) USD, AS THE SERVICES ARE PROVIDED FREE OF CHARGE.
13. Indemnification
You agree to indemnify and hold harmless ONM from any claims, damages, liabilities, losses, and expenses arising from your use of the Services, violation of these Terms, or misuse of outputs.
14. Governing Law and Arbitration
These Terms are governed by the laws of Sri Lanka, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Services shall be resolved through binding international arbitration, conducted in English, with the seat of arbitration in Sri Lanka. You waive any right to participate in class actions or jury trials.
15. Modifications to the Terms
ONM reserves the right to modify these Terms at any time. Updated versions will be posted at: https://matcompgenai.theonm.com/terms
Continued use of the Services constitutes acceptance of the revised Terms.
