This End User License Agreement (“EULA” or “Agreement”) is a legally binding agreement between you (“User”, “you”, or “your”) and ONM, a company organized and operating under the laws of Sri Lanka (“ONM”, “we”, “us”, or “our”), governing your installation, access, and use of the MatCompGenAI software application, including all executable files, libraries, local components, machine learning models, documentation, updates, and associated cloud authorization mechanisms (collectively, the “Software”).
BY INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, YOU MUST NOT INSTALL OR USE THE SOFTWARE.

1. License Grant

Subject to your continuous compliance with this EULA, ONM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for personal, academic, and non-commercial research purposes. This license does not grant any ownership rights in the Software or any related intellectual property. All rights not expressly granted are reserved by ONM.

2. License Restrictions

You shall not, and shall not permit any third party to: Reverse engineer, decompile, disassemble, decode, extract, derive, or attempt to access the source code, machine learning models, weights, parameters, architectures, encryption mechanisms, or security controls of the Software. Modify, adapt, translate, create derivative works from, distribute, sell, lease, sublicense, lend, or otherwise exploit the Software or any portion thereof. Bypass, disable, interfere with, or circumvent any technical protection measures, online authorization mechanisms, credit systems, usage limits, or encryption used to protect the Software. Use the Software for commercial purposes, resale, paid services, consulting deliverables, or revenue-generating activities without prior written permission from ONM. Use the Software in violation of any applicable law, regulation, export control, or sanction.

3. Ownership and Intellectual Property

The Software, including but not limited to all executable code, AI models, trained weights, algorithms, architectures, interfaces, documentation, updates, and all related intellectual property rights, is and shall remain the exclusive property of ONM. The Software may incorporate or be trained using third-party datasets, including publicly available Open Quantum Materials Database (OQMD). ONM does not claim ownership over such datasets. However, ONM owns all trained models, derived representations, implementations, and software artifacts resulting from such training. No rights are granted to you other than the limited license expressly stated in this EULA.

4. AI-Generated Outputs

All outputs generated or predicted by the Software, including but not limited to inorganic crystalline material compositions, predicted predicted material properties, metadata, and derived results (“Outputs”), are owned exclusively by ONM. ONM grants you a limited, non-exclusive, non-transferable, revocable license to view and use Outputs solely for personal academic or exploratory research purposes. You may not commercialize, redistribute, publish, license, sell, or otherwise exploit Outputs without prior written authorization from ONM. ONM reserves the right to revoke your Output license at any time.

5. Scientific Disclaimer

You expressly acknowledge and agree that: The Software uses statistical and machine learning techniques trained on historical datasets. Outputs are not experimentally verified and may be inaccurate, implausible, incomplete, or scientifically invalid in real-world conditions.The Software does not guarantee synthesizability, feasibility, safety, performance, or correctness of any generated or predicted material. The Software is intended strictly for exploratory, educational, and academic research purposes and must not be used as a substitute for laboratory validation, expert review, peer review, regulatory approval, or professional judgment. You must not rely on Outputs for critical, high-risk, safety-sensitive, medical, industrial, or commercial decision-making without independent verification. ONM disclaims all responsibility for real-world synthesis, testing, deployment, or consequences of Outputs.

6. Account Requirement and Online Authorization

Use of the Software requires an active ONM Account authenticated via supported third-party providers. While portions of the Software may function offline, generation operations require an online connection to authorize execution and protect ONM’s intellectual property. ONM may modify, suspend, or disable authorization mechanisms at any time.

7. Usage Credits

The Software operates under a usage credit system. Credits are allocated, reset, modified, or revoked at ONM’s sole discretion. ONM does not guarantee availability of credits, continued access, or uninterrupted operation.

8. Prohibited and Restricted Uses

You must not use the Software for or in connection with: Military, weapons, chemical, biological, environmental harm, or any application involving harm to humans or animals. Activities restricted by international sanctions, export controls, or trade laws. Attempts to misuse, manipulate, or compromise the Software or its safeguards. ONM reserves the right to monitor usage patterns and enforce restrictions without notice.

9. Account Suspension and Termination

ONM may suspend or terminate your license and access to the Software at any time, with or without notice, if you violate this EULA, the Terms of Service, or applicable law. Upon termination, all licenses granted to you immediately terminate, and you must cease all use of the Software.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”. ONM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, RESEARCH, PROFITS, OR OPPORTUNITIES, ARISING FROM OR RELATED TO THE SOFTWARE OR OUTPUTS. IN NO EVENT SHALL ONM’S TOTAL LIABILITY EXCEED ZERO (0) USD, AS THE SOFTWARE IS PROVIDED FREE OF CHARGE.

12. Indemnification

You agree to indemnify and hold harmless ONM from any claims, liabilities, damages, losses, or expenses arising from your use of the Software, violation of this EULA, or misuse of Outputs.

13. Governing Law and Arbitration

This EULA is governed by the laws of Sri Lanka, without regard to conflict-of-law principles. Any dispute arising out of or relating to this EULA or the Software shall be resolved exclusively through binding international arbitration, conducted in English, with the seat of arbitration in Sri Lanka. You waive any right to participate in class actions or jury trials.

14. Modifications

ONM reserves the right to modify this EULA at any time. Updated versions will be made available at: https://matcompgenai.theonm.com/eula
Continued use of the Software constitutes acceptance of the revised EULA.
